eScholarify will do its best to meet all deadlines. But eScholarifywill not be responsible for the deadline missed due to unavoidable circumstances. These include deployments, third-party support, disruption, communication delays, unavailability of resources, and other similar situations. We will give our clients the opportunity to review the content and presence of the website that is being developed during and after the project implementation. Copyright to logos, files and data supplied by the client will be owned by the client and the client will grant eScholarify the authority to modify and use them. It will be the responsibility of the client to obtain the relevant copyrights of any third-party material. The responsibility of granting eScholarify the copyright permissions also rely on the client. eScholarify is insulated from any claims that arises from the materials provided by the client. This could be happened improper copyright permissions or negligence by the client. eScholarify reserves the right to ask for evidence that expresses the authority and permission.

Payment Conditions

eScholarify accepts payments by Cheque, Cash and Bank Transfers; although eScholarify reserves the right to decline payment in any of these forms without notice. eScholarify reserves the right to withdraw any payment method at any time without limitation and to change its prices without prior notice. If the client cancels the project or closes midway, a cancellation fee may be charged. These fees may vary depending on the state of the project at the stage of closure or cancellation.

Support and Third-Party

eScholarify provides free-of-cost support during the first month after launch. After that, we charge according to our various price packages best-suited to the client's requirements. eScholarify also offers special discounts when clients choose higher priced packages. The scope of support includes only any bug fixing, email support and elimination of any issues related to the site's architecture, rule changes and enhancements.

Any 3rd-Party support, product, or service being used/ integrated into the site which requires licensing, payment, copyright, etc. shall be the sole responsibility and liability of and be provided by the client or will be procured by eScholarify on behalf of the client on pre-payment for the cost of such procurement.

The fee charged by eScholarify is exclusive of out-of-pocket expenses and expense claims filed by third party products/services involved.

No guarantees or warranties shall be provided by eScholarify for the accuracy or performance of such 3rd-Party products/services.

Limitations of Liability

eScholarify will use reasonable skill and care in providing the service. However, eScholarify does not exclude any warranty, express or implied as to the availability, quality, accuracy, punctuality, completeness, performance or fitness of the service.

eScholarify excludes its employees, contractors, and itself from the following: any or all liability due to omissions, time, any negligence, etc. that can impair the functionality of the website.

eScholarify can’t make guarantees of service(s) on behalf of third-party organizations and will not be held liable for the failure in any service provided by third parties.

Delivery and Approvals

Projects are usually divided into different phases and work begins only at the next stage after the full stage is paid as per the contract.

Upon completion of the project, the developed product/project will be handed over to the customer end from our website for approval. The product/project will be transferred to the customer end server after approval. we have the right to delay this transfer until the full realization of payment is done.

eScholarify holds the right to publish the completed project for the purpose of reference to generate new customers. If the client wishes to prevent such usage, we must be well informed in advance and obtain appropriate approvals.

Timeline/Deadline

eScholarify will aim to complete all services within the agreed timescale. The timescale will commence on receipt of both the agreed % deposit (ranging from 30% to 50% of the project price as mutually discussed and agreed prior to contract finalization) as acceptance and all website content from the customer.

eScholarify may need to extend any timescales due to unavoidable circumstances.

Jurisdiction

These terms shall be governed by and interpreted in accordance with Bangladeshi Law. The parties irrevocably agree that the courts of Bangladesh shall have exclusive jurisdiction to settle any dispute which may arise out of, under, or in connection with these Terms and Conditions. The placing of an order will confirm acceptance of these conditions which are attached to the Order.
